1. Acceptance of Terms

By accessing or using XHBT® (the "Platform"), operated by Principal LA, LLC, a California limited liability company ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

2. Description of Service

XHBT is a directory platform that connects art patrons with contemporary galleries, exhibitions, and artists worldwide. The Platform provides gallery listings, exhibition information, artist profiles, open calls for artists, and related content aggregated from publicly available sources and user submissions.

3. User Accounts

You may create an account using Google authentication. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account. You agree to provide accurate, current, and complete information and to update it as necessary.

4. User Content

You retain ownership of any content you submit to the Platform, including artist profiles, images, and descriptions ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your User Content in connection with operating and promoting the Platform. You represent that you have the right to grant this license for any content you submit.

5. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose
  • Submit false, misleading, or infringing content
  • Attempt to gain unauthorized access to the Platform or its systems
  • Scrape, crawl, or otherwise extract data from the Platform by automated means without our prior written consent
  • Interfere with or disrupt the Platform or servers connected to it
  • Impersonate any person or entity

6. Intellectual Property

XHBT®, the XHBT logo, and all related marks are registered trademarks of Principal LA, LLC. All Platform content, design, and functionality (excluding User Content) are owned by Principal LA, LLC and are protected by copyright, trademark, and other intellectual property laws.

7. Third-Party Content

The Platform aggregates information about galleries, exhibitions, and events from publicly available sources. We do not guarantee the accuracy, completeness, or timeliness of third-party content. Links to third-party websites are provided for convenience and do not imply endorsement.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRINCIPAL LA, LLC AND ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

10. Indemnification

You agree to indemnify and hold harmless Principal LA, LLC and its officers, directors, members, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.
